Job Description
The Commercial Counsel will provide guidance on a variety of commercial legal issues, including by drafting and negotiating Order Forms, Master Service Agreements and Data Privacy Agreements, and responding to compliance related requests from internal parties, clients and other external parties. The Commercial Counsel is a high-impact role in which you will become a trusted advisor to key stakeholders while utilizing a diverse skillset in contract negotiation, critical thinking and problem-solving. This role is ideally suited for an individual who is eager to learn, has an ownership mentality, and thrives in a team-focused, fast-paced environment.
Responsibilities:
- Independently review, draft and negotiate customer SaaS agreements, including MSAs, Order Forms, DPAs and NDAs, while identifying and managing risk for the company.
- Maintain and improve existing sales contracting processes and work on other legal and compliance projects.
- Collaborate with Sales, Finance, Deal Desk, Information Security, Product, and other teams to negotiate contracts, work on cross-functional projects, and ensure compliance with Movable’s policies and applicable laws.
- Keep up to date with developments in relevant practice areas, including data privacy, commercial law, and other applicable regulations.
Qualifications:
- A JD from an accredited law school with admission to a state bar
- 3+ years of legal experience, with focus on drafting and negotiating SaaS, software licensing, and other technology related contracts, including MSAs, SOWs, and NDAs.
- Solid understanding of commercial contract terms (e.g., intellectual property rights, indemnification, and limitations of liability) and the ability to translate that understanding into redlines and articulate in negotiations.
- Basic knowledge of data privacy laws such as the GDPR and the CCPA; experience in negotiating Data Privacy Agreements is a plus.
- Excellent negotiating, legal drafting, and communication skills.
- Excellent attention to detail.
- Agile thinker who can pivot quickly without sacrificing quality of work.
- Team player who exhibits excellent client service and professionalism.
- Ability to keep deadlines and composure in a fast-paced environment.
The base pay range for this position is $140,000-$165,000/year, which can include additional on-target commission pay/bonus. The base pay offered may vary depending on job-related knowledge, skills, and experience. Stock options and other incentive pay may be provided as part of the compensation package, in addition to a full range of medical, financial, and/or other benefits, depending on the position ultimately offered.
